The Organisation is called Sevenoaks Action for Community Education (ACE) hereinafter referred to as the “Organisation".

2. Objects of the Organisation
The purpose of the Organisation is to campaign for relevant community secondary education services for Sevenoaks and its surrounding villages.
The method by which the Organisation will achieve this is through the creation of an education plan (referred to as the “Project") based on the guidelines provided in the Parish and Community Planning Toolkit.  It will assess by means of research the secondary education requirements of the community in the Sevenoaks area. 
The end result will be:
(a) a research report (the “Report”) that contains the results of the research; and
(b) an action plan (the “Action Plan”) for delivery of any relevant actions.

3. Steering Committee
A steering committee (referred to as the “Committee”) will be formed for the period of the Project by volunteers, or persons nominated by residents and community committees from within Sevenoaks and its surrounding villages and will consist of such numbers as the Committee decides from time to time.  Kent County Council, Sevenoaks District Council and Sevenoaks Town Council will each be invited to nominate one council member to attend the Committee, and such attendees shall have no vote.
The Committee will elect a Chairperson, Deputy, Treasurer and Secretary, and such other position as it sees fit.  Full Steering Committee meetings will be held at such times as the Committee decides from time to time. A quorum for such meetings will be 5 members.

4. Committee Powers
The Committee will ensure that the Organisation achieves its objectives by raising funds and by recruiting volunteers to help with the work involved.
The Committee will have:
(a) power to raise funds and to invite contributions provided that in raising funds it shall not undertake any permanent trading activities and shall conform to any relevant requirements of the law.
(b) power to open an bank account in the name of the Organisation;
(c) power to co-operate with charities, other voluntary bodies and statutory authorities operating in furtherance of the objects or of similar charitable purposes and to exchange information with them;
(d) power to do all such other lawful things as necessary for the achievement of all of the objects; and
(e) power to appoint and constitute such advisory committees as it thinks fit.

5. Duties `
The duties of the Committee are:
(a) to work with the community to undertake the Project;
(b) to report progress; and
(c) to maintain and control the Organisation bank account.

6. Management of Funds
A bank account will be opened to receive and disburse funds. Monthly statements will be issued and reported to meetings of the Committee. Three cheque signatories will be approved by the Committee and each cheque will require two signatures.

7. Life Span
When the Report has been presented and approved the Committee will review its status and role in order to determine how best to deliver the Action Plan.

8. Notices and Changes
Notices of meetings of the Committee shall be given at least 7 calendar days before the meeting, including the proposed agenda.
Changes to this Constitution may be made by a resolution put before a meeting of the Committee, and carried by a vote of 2/3rds of those attending. Notice of such resolution shall be given to all members of the Committee not less than 7 days before the meeting at which it is to be decided.
